Terms of Service

Please read these Terms of Service ("Terms") carefully before using the https://tables.so website and related applications, APIs, and tools (the "Service") operated by Tables.so ("Tables", "us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service ("you", "your", or "Customer").

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms then you may not access the Service.

1. Definitions

  • "Data" means business contact and company information made available to you through the Service, including search results, enrichments, verifications, and exports.
  • "Customer Data" means data and information you upload, submit, or otherwise provide to the Service.
  • "Applicable Laws" means all laws and regulations applicable to your use of the Service and the Data, including data protection and privacy laws (such as the GDPR, the Danish Data Protection Act, the ePrivacy rules, and the CCPA/CPRA) and applicable marketing and anti-spam laws.

2. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the credentials that you use to access the Service and for any activities or actions under your account, whether with our Service or a third-party service. You must notify us promptly of any unauthorized use of your account.

3. Communications

By providing your phone number to Tables.so, you consent to receive marketing calls and SMS communications from us. You acknowledge that standard message and data rates may apply.

You can opt out of receiving marketing communications at any time by:

  • Contacting us at info@tables.so
  • Using the unsubscribe link in our marketing emails
  • Updating your account settings

Please note that even if you opt out of marketing communications, we may still contact you regarding your account, subscriptions, and transactional matters.

4. The Service

Tables.so is a software and service provider that helps you discover, enrich, and verify business contact and company information. The Data is compiled from third-party data providers and publicly available sources. We provide the Service and the Data as tools; you decide whether, how, and for what purposes you use them.

We do not warrant that the Data is accurate, complete, current, or suitable for any particular purpose. The Data is provided on an "as is" and "as available" basis. You are responsible for independently evaluating the Data before relying on it.

5. Data Protection Roles

With respect to Customer Data that you upload to the Service for processing on your behalf, you act as the controller and we act as your processor; such processing is governed by our Data Processing Agreement, which is available on request and incorporated into these Terms where applicable.

With respect to Data that you obtain, export, or otherwise process through the Service for your own purposes, you act as an independent data controller. You alone determine the purposes and means of your processing of that Data, and you are solely responsible for that processing under Applicable Laws.

6. Your Responsibilities and Acceptable Use

You agree to use the Service and the Data only for lawful business purposes and in compliance with these Terms and all Applicable Laws. You are solely responsible for:

  • establishing and maintaining a valid lawful basis for your processing of the Data (including any outreach or marketing);
  • providing any privacy notices required of you (including under Articles 13 and 14 of the GDPR) to individuals whose personal data you process;
  • complying with all applicable marketing, electronic communications, and anti-spam laws; and
  • receiving, honoring, and applying opt-out, suppression, and deletion requests to any Data you retain in a timely manner, including any such requests we pass on to you.

You agree not to:

  • use the Data to send unlawful unsolicited communications or otherwise violate the privacy rights of any individual;
  • process special categories of personal data, data relating to children, or any data you know or suspect was obtained unlawfully;
  • use the Data to make, or as a factor in, decisions about consumer credit, employment, housing, insurance, or other similarly high-risk eligibility determinations, except where permitted by law and agreed by us in writing;
  • sell, license, publish, or otherwise make available the Data (or any substantial portion of it) as a standalone list, dataset, or data feed, or use it to build or improve a competing database; or
  • scrape, data-mine, reverse engineer, or circumvent any limits of the Service without our express written permission.

You are responsible for your end users' and recipients' compliance with these Terms as if they were your own acts and omissions.

7. Plans, Orders, and Billing

Access to the Service may be provided through standard plans or through custom or negotiated arrangements set out in a separate order, quote, or agreement (each, an "Order"). The price, billing frequency, term, commitment, usage limits, and renewal and cancellation terms applicable to you are those stated in your plan or Order. Billing frequency and term length vary and may be monthly, quarterly, annual, or another period as agreed.

Unless your plan or Order states otherwise, fees are billed in advance for each billing period and your subscription renews automatically for successive periods until cancelled in accordance with its terms. Where an Order specifies a fixed term, minimum commitment, or non-cancellable period, those terms apply and prevail over any conflicting language in this section.

You may manage or cancel renewal through your account or by contacting our customer support team, subject to the terms of your plan or Order. Except where required by law or expressly stated in an Order, fees are non-refundable.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Tables.so and its licensors. The Service is protected by copyright, trademark, and other laws of both Denmark and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any rights in our underlying data sources, methodologies, or software except the limited right to use the Service as permitted here.

9. Disclaimer of Warranties

The Service and the Data are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that the Data is accurate or up to date.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Tables.so, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Service; (ii) any conduct or content of any third party on the Service; (iii) any Data obtained from the Service, including its accuracy or your use of it; or (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, and even if we have been advised of the possibility of such damage.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Applicable Laws.

11. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Tables.so and its directors, employees, and affiliates from and against any claims, demands, regulatory actions, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service or the Data; (b) your breach of these Terms or Applicable Laws; (c) your lack of a valid lawful basis or failure to provide required notices; or (d) your or your recipients' processing, sharing, marketing, or other downstream use of the Data. This indemnity does not apply to the extent a claim is caused by our own breach of these Terms.

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. The courts of Denmark shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
